1. Acceptance of Terms

By installing, accessing, or using the GhostPen Chrome extension ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legal agreement between you and GhostPen ("we", "us", "our"). GhostPen is a division of Wealth X Project, registered in Ajman Free Zone, UAE. We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

GhostPen is a Chrome browser extension that provides AI-powered email response generation for Gmail users. The Service includes:

• AI-generated email response suggestions
• Multiple tone options for responses
• Writing style learning (on applicable plans)
• Relationship intelligence features (on applicable plans)
• Email thread summarization (on applicable plans)

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account using a valid email address. You may register using Google Sign-In or email/password authentication.

3.2 Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your account information is accurate and up-to-date

3.3 Account Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this requirement.

4. Subscription Plans and Payments

4.1 Free Plan

The free plan includes limited features and usage caps as described on our pricing page. Free plan features may change without notice.

4.2 Paid Plans

Paid subscriptions (Pro and Business plans) are billed monthly. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis.

4.3 Billing

• Subscriptions automatically renew unless cancelled
• Prices are subject to change with 30 days notice
• Payments are processed securely through Stripe
• All fees are non-refundable except as required by law

4.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then.

5. Acceptable Use

5.1 Permitted Use

You may use the Service for lawful purposes to assist with your personal or professional email communications.

5.2 Prohibited Use

You agree NOT to use the Service to:

• Generate spam, phishing, or fraudulent emails
• Harass, threaten, or defame any person
• Violate any applicable laws or regulations
• Impersonate any person or entity
• Distribute malware or harmful content
• Circumvent usage limits or access controls
• Reverse engineer, decompile, or modify the Service
• Share your account with others or allow unauthorized access
• Use automated systems to access the Service beyond normal use
• Engage in any activity that could damage or impair the Service

5.3 Content Responsibility

You are solely responsible for the content of emails you send using AI-generated suggestions. The AI provides suggestions only; you must review and approve all content before sending.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its software, design, logos, and documentation, is owned by GhostPen and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service.

6.2 Your Content

You retain ownership of your email content. By using the Service, you grant us a limited license to process your content solely for providing the Service. See our Privacy Policy for details.

6.3 Feedback

If you provide feedback or suggestions about the Service, you grant us the right to use such feedback without compensation or attribution.

7. AI-Generated Content

7.1 Nature of AI Suggestions

The AI-generated responses are suggestions only. They may contain errors, inaccuracies, or inappropriate content. You must review all suggestions before use.

7.2 No Guarantee

We do not guarantee that AI suggestions will be accurate, appropriate, or suitable for any particular purpose. The AI is a tool to assist you, not replace your judgment.

7.3 Your Responsibility

You are solely responsible for:

• Reviewing AI suggestions before sending
• Ensuring content is appropriate and accurate
• Any consequences of emails you send

8. Privacy and Data

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

9. Service Availability

9.1 Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or technical issues.

9.2 Modifications

We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice of significant changes when possible.

9.3 Third-Party Dependencies

The Service depends on third-party services (Gmail, AI providers). We are not responsible for issues caused by third-party service disruptions.

10. Disclaimers

We do not warrant that:

• The Service will meet your requirements
• The Service will be error-free or uninterrupted
• AI suggestions will be accurate or appropriate
• Any errors will be corrected

11. Limitation of Liability

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless GhostPen and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Content of emails you send using the Service

13. Termination

13.1 Termination by You

You may stop using the Service and close your account at any time.

13.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, including for:

• Violation of these Terms
• Suspected fraudulent or abusive activity
• Extended period of inactivity
• Request by law enforcement

13.3 Effect of Termination

Upon termination:

• Your right to use the Service ends immediately
• We may delete your account data (subject to our Privacy Policy)
• Provisions that should survive termination will remain in effect

14. Dispute Resolution

14.1 Informal Resolution

Before filing a legal claim, you agree to try to resolve disputes informally by contacting us. We'll try to resolve the dispute within 30 days.

14.2 Governing Law

These Terms are governed by the laws of the United Arab Emirates, specifically as applicable in Ajman Free Zone, without regard to conflict of law principles.

14.3 Arbitration

Any disputes that cannot be resolved informally shall be settled by binding arbitration, except for claims that qualify for small claims court.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GhostPen regarding the Service.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.4 Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights to any affiliate or successor.
